Terms of Service

Effective 2026-04-28 · Version v1

Please read this notice.

These terms are effective as published and apply to your use of JetFlow. They are a working draft prepared by the operator of this deployment; they have not been reviewed by a qualified Hong Kong legal practitioner, and nothing on this page is legal advice. If you operate JetFlow as a business, have a Hong Kong solicitor review this text against your circumstances before you rely on it.

1. Who these terms are between

These Terms of Service (the "Terms") form an agreement between JetFlow Limited ("JetFlow", "we", "us") and the organisation that subscribes to or uses the JetFlow platform (the "Customer", "you"). They cover the JetFlow web application, the JetFlow mobile applications, and the APIs, integrations and support that go with them (together, the "Service").

Three other documents form part of this agreement and are incorporated by reference: the Privacy Policy, the Personal Information Collection Statement and the Cookie Policy. Where a separately signed order form or written agreement conflicts with these Terms, that document prevails for the conflicting provision only.

2. Acceptance, eligibility and authority

  • You accept these Terms by creating an account, by clicking to accept, or by using the Service — whichever happens first.
  • The Service is provided for business use only. It is not offered to consumers, and it is not intended for personal or household purposes.
  • You must be at least 18 years old to hold an account.
  • If you accept these Terms on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and "you" means that organisation. If you do not have that authority, do not use the Service.

3. The Service and plans

JetFlow is multi-tenant operations software for Hong Kong SMEs — finance, compliance, people, projects, customers and related modules sharing one set of records within your tenant.

  • The Service is offered on plans. Which modules, limits, storage, AI allowances and support you get depends on the plan you are on, as described on our pricing page and in your billing settings at the time you subscribe.
  • A free plan and free trials may be offered. Trials end automatically; features outside your paid plan stop being available when the trial ends.
  • Features described as beta, preview, pilot or similar are provided as-is, may change or be withdrawn without notice, and are excluded from any service commitment.
  • Some features depend on credentials you supply (for example an AI provider key or a connector account). Where those are absent, the feature may be unavailable or may operate in a reduced mode.

4. Accounts, tenants and Authorised Users

  • Your data lives in a tenant — a company workspace. Records are scoped to that tenant, and users are granted access to it by your administrators.
  • "Authorised Users" are the individuals you permit to use the Service under your tenant: your employees, contractors, accountants and other advisers. You are responsible for their acts and omissions on the Service as if they were your own.
  • You must ensure Authorised Users keep their credentials confidential, do not share accounts, and use the multi-factor and access controls the Service provides.
  • You are responsible for maintaining the accuracy of your account, tenant and billing information, and for removing access promptly when someone leaves.
  • Tell us at [email protected] (or [email protected] for a suspected compromise) as soon as you become aware of unauthorised access to your account or tenant.

5. Customer Data and ownership

  • "Customer Data" means everything you and your Authorised Users put into the Service: records, documents, uploads, contacts, ledgers, payroll and HR data, prompts to AI features and the outputs returned to you within your tenant.
  • You own your Customer Data. As between you and JetFlow, it stays yours. We claim no ownership of it.
  • You grant us a non-exclusive, worldwide licence to host, copy, transmit, display and process Customer Data only so far as needed to provide, secure, support and improve the Service for you, and to comply with law.
  • You are responsible for having the right to put Customer Data into the Service, including any consent, notice or lawful basis required for personal data of your staff, customers and vendors. In relation to that personal data you are the data user; we process it for you. See the Privacy Policy.
  • Where we use aggregated or de-identified data to operate and improve the Service, it will not identify you, your Authorised Users or your customers, and we will not disclose it in a form that does.

6. Acceptable use

You and your Authorised Users must not:

  • break Hong Kong law or any other law that applies to you, or use the Service to facilitate fraud, money laundering, tax evasion, or the falsification of accounting or statutory records;
  • upload material you have no right to upload, or that infringes someone else's intellectual property or privacy;
  • upload malware, or attempt to probe, scan, penetrate, disrupt or overload the Service or the infrastructure it runs on;
  • attempt to access another tenant's data, or any part of the Service you have not been granted access to;
  • reverse engineer, decompile or copy the Service, or use it to build a competing product, except to the extent that restriction is unenforceable under applicable law;
  • resell, sublicense, timeshare or provide the Service as a service bureau to third parties, unless your plan or a written agreement says you may;
  • scrape or extract data by automated means other than through interfaces we provide, or exceed documented rate or volume limits; or
  • misrepresent AI-generated output as reviewed professional advice, whether ours or a third party's.

You must also keep your own regulatory obligations — a bookkeeping tool does not transfer them to us.

7. AI features

The Service includes AI-assisted features: an advisor and chat, document reading and OCR, drafting, classification, reconciliation suggestions, agents and analytics. These matter enough to state plainly:

  • AI output is assistance, not advice. It is not legal, tax, accounting, audit, financial, immigration or employment advice, and no professional relationship is created by using it.
  • AI output can be wrong. Models can misread a document, miscalculate, omit something material, or state something confidently that is untrue.
  • You must review it. Before you file, pay, publish, book, submit to a regulator, or otherwise rely on anything an AI feature produced, a competent human on your side must check it. Nothing in the Service is a substitute for your accountant, auditor, or solicitor.
  • You are responsible for what you do with AI output, including anything filed with the Inland Revenue Department, the Companies Registry, the Mandatory Provident Fund Schemes Authority or any other authority.
  • AI features send your prompts and the relevant content to third-party model providers, which process them under their own terms. Where JetFlow is not configured with a model provider key, AI surfaces return clearly-marked placeholder text rather than a model response.
  • AI inputs and outputs are retained as set out in the Privacy Policy.
  • Usage limits by plan apply. We may apply rate limits, queueing or fair-use limits to keep the Service available to everyone.

8. Third-party services and connectors

  • The Service can connect to third-party services — for example Google and Microsoft accounts and their storage, payment processing by Stripe, banking-data providers, messaging platforms and accounting or e-commerce systems.
  • Those services are not provided by us. Your use of them is governed by their terms and privacy policies, and by any authorisation you give them.
  • When you connect a service you authorise us to exchange data with it on your behalf, within the scopes you approve. You can disconnect at any time in settings; disconnecting stops future exchange and does not by itself delete data already exchanged.
  • We are not responsible for a third party's availability, accuracy, security or changes to its API, and a third party withdrawing or changing its service may reduce or remove the corresponding JetFlow feature.
  • Where a connector is described in the Service as unavailable, simulated or awaiting credentials, it does not exchange live data and must not be relied on as if it did.

9. Fees, billing, renewal and taxes

  • Paid plans are billed in advance for the billing period shown at checkout, in the currency shown there. Payments are processed by Stripe; we do not store your full card details.
  • Subscriptions renew automatically for successive periods of the same length until cancelled. Cancel before the end of the current period in your billing settings, or by writing to [email protected].
  • Cancelling stops the next renewal. It does not refund the current period: fees already paid are non-refundable except where these Terms say otherwise or the law requires a refund.
  • If you add seats or exceed a plan limit mid-period, the additional charge is applied at the rate then in effect, pro-rated where our billing supports it.
  • Fees are exclusive of taxes and duties. You are responsible for any tax arising from your purchase other than tax on our income.
  • If a payment fails or is overdue, we may retry it, restrict features, or suspend the Service after giving you notice and a reasonable opportunity to fix it. Suspension for non-payment does not relieve you of accrued fees.
  • We may change prices. A change takes effect for you at the start of your next billing period after we have given you notice; if you do not accept it, cancel before that period begins.
  • Query an invoice within 30 days of it being issued, at [email protected].

10. Uploaded files and retention

This clause describes real behaviour of the Service and deserves your attention:

  • Saving an upload to a connected drive (Google Drive or OneDrive) is coming soon and is not offered today. When it is, a file you route to your own drive will be stored on your own storage and will not be subject to JetFlow's upload-retention purge.
  • A file you upload that stays with JetFlow is kept only for a retention window — three (3) days by default — after which it stops being retrievable and the record of it is tombstoned with the reason. Where a record in the Service still references the file, or a workflow using it is unresolved, its removal is deferred until that is no longer the case.
  • The structured record created from a document (for example the invoice, the bill, the ledger entry) is not deleted by that purge. It is the file bytes that go.
  • You must keep your own copies of source documents. Hong Kong law requires businesses to retain accounting records — 7 years under the Inland Revenue Ordinance s.51C and the Companies Ordinance s.373. JetFlow's upload retention window is not a records-retention system, and we are not your record keeper.
  • The operator of this deployment can configure a different window; where a deployment is configured differently the shorter of the configured window and the plan storage limit applies. Other retention periods (account, audit log, AI inputs, request logs) are in the Privacy Policy §8.

11. Intellectual property and feedback

  • JetFlow and its licensors own the Service — the software, interfaces, designs, documentation, trade marks and everything else we provide — and all intellectual property in it. Nothing here transfers any of it to you.
  • Subject to these Terms and your payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable right to use the Service during your subscription for your internal business purposes.
  • You own Customer Data (§5). Output generated for you by an AI feature within your tenant is treated as Customer Data as between you and us; we make no representation that such output is original or free of third-party rights, and you are responsible for checking it before you publish or rely on it.
  • If you send us feedback, suggestions or feature requests, you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation or attribution. Do not send us anything confidential as feedback.

12. Confidentiality

  • Each party may receive information the other treats as confidential — your Customer Data and business information on our side, our non-public technical, security and pricing information on yours.
  • Each party will use the other's confidential information only to perform this agreement, protect it with at least reasonable care, and disclose it only to personnel and contractors who need it and are under equivalent obligations.
  • These obligations do not apply to information that is public through no breach, was already known without restriction, or is independently developed. Disclosure required by law or a competent authority is permitted; where lawful, the disclosing party will give the other notice first.

13. Privacy and personal data

How we handle personal data is set out in the Privacy Policy and the Personal Information Collection Statement, both written against the Hong Kong Personal Data (Privacy) Ordinance (Cap. 486). For personal data your organisation puts into the Service about its own staff, customers and vendors, you are the data user and are responsible for the notices and consents that data requires; we process it on your instructions. Deleting an individual account is described at /account-deletion. Privacy requests: [email protected].

14. Availability, support and changes to the Service

  • We aim to keep the Service available and to respond to support requests within two working days (see /support), but except where your plan or a signed agreement states an availability commitment, the Service is provided without an uptime guarantee.
  • We may perform maintenance, and will try to schedule planned maintenance outside Hong Kong business hours and to give notice where it will be disruptive.
  • We improve the Service continuously and may add, change or remove features. We will not make a change that materially reduces the core functionality of your paid plan during a period you have already paid for without giving you notice and, if you object, a pro-rated refund for the unused remainder of that period.
  • We may set technical limits (file sizes, request rates, upload quotas, AI usage) to protect the Service.

15. Warranties and disclaimer

We warrant that we will provide the Service with reasonable care and skill.

Otherwise, and to the fullest extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all other warranties, conditions and representations, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or that output — including AI output, OCR results, calculations, classifications and analytics — will be accurate, complete or fit for a filing, payment or regulatory purpose. Nothing in these Terms excludes liability that cannot lawfully be excluded.

16. Limitation of liability

  • Neither party is liable for indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, goodwill, business opportunity, anticipated savings, or loss or corruption of data, however caused.
  • Each party's total aggregate liability arising out of or in connection with this agreement is limited to the fees you paid or owed for the Service in the twelve (12) months before the event giving rise to the claim. Where no fees were payable (for example a free plan or a trial), that cap is HKD 1,000.
  • These limits do not apply to your obligation to pay fees, to either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or to any liability that cannot lawfully be limited.
  • The allocation of risk in this clause is a fundamental basis of the pricing of the Service.

17. Indemnity

You will defend and indemnify us against third-party claims, and reasonable costs and damages finally awarded or agreed in settlement, arising from Customer Data, from your or your Authorised Users' use of the Service in breach of these Terms or of law, or from your reliance on AI output without the review required by §7. We will notify you promptly of any such claim, give you control of the defence (subject to our approval of any settlement affecting us, not to be unreasonably withheld), and give you reasonable assistance at your cost.

18. Suspension

We may suspend all or part of the Service, or a specific Authorised User's access, where we reasonably believe it is necessary because of a security threat, unlawful conduct, a material breach of §6, a legal or regulatory requirement, or non-payment. Except where an immediate suspension is needed to prevent harm, we will give notice first and restore access once the cause is resolved. Suspension does not by itself terminate this agreement.

19. Term and termination

  • This agreement runs while you have an account or an active subscription.
  • You may terminate at any time by cancelling your subscription and closing your account. Cancellation takes effect at the end of the current paid period unless you ask for it to be immediate.
  • Either party may terminate for material breach that is not remedied within 30 days of written notice, or immediately if the other becomes insolvent, is wound up, or enters an arrangement with creditors.
  • We may terminate a free plan or trial, or discontinue the Service in your territory, on 30 days' notice; if we discontinue a paid subscription for convenience we will refund the unused pro-rated remainder of the period you paid for.

20. Effect of termination — export and deletion

  • Access to the Service ends at termination, along with the rights granted in §11.
  • Export your data before you terminate. Export tools are available in the app while your account is active. For 30 days after termination you may ask us in writing at [email protected] for an export of Customer Data still held, and we will provide it in a machine-readable format.
  • After that period we delete or irreversibly de-identify Customer Data in the ordinary course, except where retention is required by law, needed to resolve a dispute, or held in routine encrypted backups that expire on their own cycle.
  • Personal data deletion follows the Privacy Policy and /account-deletion. Note that records belonging to a company may lawfully be retained after an individual's account is deleted.
  • Clauses that by their nature should survive — §5 ownership, §11, §12, §15, §16, §17, §20, §23 and any accrued payment obligation — survive termination.

21. Changes to these Terms

We may update these Terms. When we make a material change we will bump the version shown at the top of this page and give notice in the app or by email before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms; if you do not accept them, stop using the Service and cancel, and we will refund the unused pro-rated remainder of any period you have paid for. Non-material changes (typographical corrections, clarifications) take effect on publication.

22. General

  • Assignment — you may not assign this agreement without our written consent, not to be unreasonably withheld; we may assign it to an affiliate or in connection with a merger, reorganisation or sale of substantially all assets.
  • Subcontracting — we may use sub-processors and subcontractors (listed in the Privacy Policy §5) and remain responsible for their performance.
  • Notices — to you, by email to your account's registered address or in-app; to us, by email to [email protected].
  • Force majeure — neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations.
  • Entire agreement — these Terms and the documents incorporated in §1 are the whole agreement on this subject and replace earlier discussions. Neither party relies on any statement not set out in them, save for fraudulent misrepresentation.
  • Severability and waiver — if a provision is unenforceable, the rest continues; a delay in enforcing a right is not a waiver of it.
  • No partnership — nothing here creates a partnership, joint venture, agency or employment relationship.
  • Third parties — a person who is not a party to this agreement has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce any of it.
  • Language — this page is published in English and Traditional Chinese. If there is any inconsistency, the English version prevails.

23. Governing law and jurisdiction

This agreement, and any dispute or claim arising out of or in connection with it (including non-contractual disputes), is governed by the laws of the Hong Kong Special Administrative Region. The parties submit to the exclusive jurisdiction of the courts of Hong Kong. Before starting proceedings, each party will try in good faith to resolve the dispute by discussion between senior representatives for 30 days.

25. Version history

  • v1 — 2026-04-28 — first published Terms of Service, replacing the placeholder page.

Drafted for a Hong Kong B2B software service and published to meet app-store requirements. Not legal advice, and not reviewed by a Hong Kong legal practitioner. Have a solicitor review the deployed text before relying on it. Retention default of 3 days in §10 describes the Service as configured by default.

This document is a legal-risk-reducing template aligned with the Hong Kong Personal Data (Privacy) Ordinance (Cap. 486). It is not legal advice. JetFlow recommends a Hong Kong solicitor review the deployed text before going live, especially if your operations span multiple jurisdictions.
